Core Requirement 2.2: Governing Board
The institution has a governing board of at least five members that is the legal body with specific authority over the institution. The board is an active policy-making body for the institution and is ultimately responsible for ensuring that the financial resources of the institution are adequate to provide a sound educational program. The board is not controlled by a minority of board members or by organizations or interests separate from it. Neither the presiding officer of the board nor the majority of other voting members of the board have contractual, employment, or personal or familial financial interest in the institution.
A military institution authorized and operated by the federal government to award degrees has a public board in which neither the presiding officer nor a majority of the other members are civilian employees of the military or active/retired military. The board has broad and significant influence upon the institution's programs and operations, plays an active role in policy-making, and ensures that the financial resources of the institution are used to provide a sound educational program. The board is not controlled by a minority of board members or by organizations or interests separate from the board except as specified by the authorizing legislation. Neither the presiding officer of the board nor the majority of other voting board members have contractual, employment, or personal or familial financial interest in the institution.

Narrative:
The Board of Trustees of Wayne Community College is a body corporate established by the North Carolina General Statutes (NCGS) 115D-14. The college is governed by a board consisting of 13 members. The composition of the Board is as follows:
- Four trustees elected by the Wayne County Board of Education
- Four trustees elected by the Wayne County Board of
County
Commissioners
- Four trustees appointed by the Governor of North Carolina
- President of the WCC Student Government Association (who serves as an ex-officio, non-voting member)
The duties and responsibilities of the Board are specified in the By-Laws of the Board of Trustees of WCC. The Board meets bi-monthly, and the minutes of the board meetings provide evidence that the Board is an active policy-making body.
The Board acts on policy recommendations by the president and/or board committees. The Board establishes policies that guide the general operation of the college. To ensure a sound educational program, the Board adopts the budget for the college reflecting all revenue and expenditures for the college through a budget resolution. The Board is not controlled by a minority of board members nor by organizations or interests separate from it. Action by the Board is accomplished by majority vote with a quorum present; individual board members have no authority.
The college president serves as the secretary to the Board and is not a member of the Board. Neither the presiding officer of the Board nor the majority of other voting members of the Board have contractual, employment, personal, or familial financial interest in the institution and receive no compensation for service. Board members are subject to the conflict of interest provisions of NCGS 14-234.
